How to tokenize real estate: the company, the token and the rent, step by step

To tokenize real estate, you put the property inside its own company, a special purpose vehicle (SPV), and issue that company’s shares as tokens on a blockchain. The token carries the transfer rules, the SPV holds the title, and the rent flows out to token holders every month.

The token is a new way to keep the share register. It does not replace the land registry, the valuation, the tenancy or securities law.

The market is small today and forecast to grow fast. In April 2025 the Deloitte Center for Financial Services predicted that US$4 trillion of real estate will be tokenized by 2035, up from less than US$0.3 trillion in 2024. Dubai’s land department projects tokenized property at AED 60 billion by 2033, 7% of the emirate’s real estate transactions.

What is real estate tokenization, explained simply?

A token is an entry on a shared ledger that says who owns what. In real estate it usually stands for a share in the SPV that owns a building, or a slice of a loan secured on it. Selling the token sells the share. The house itself never moves onto a blockchain.

Regulators read it the same way. On 28 January 2026, three divisions of the US SEC published a statement on tokenized securities: the federal securities laws apply whatever format a security is issued in. The UK FCA’s policy statement PS26/7, published on 30 April 2026, defines tokenisation as representing an asset, or ownership of one, using distributed ledger technology.

I have worked on this from the inside. As a forward deployed engineer at Instruxi, I worked with a client who turns rented homes into tokens that back a loan. I built a prototype that reads their live test network and follows each step: house, token, vault, loan, rent. It has four break-it gates (title check, valuation, rent feed and holder check) and the client’s own yield formula as sliders. The full story is in four AI and fintech builds. Everything below comes from that work and from the primary sources linked.

How do you tokenize a property, step by step?

  1. Set up the SPV. One company per property, owning that property and nothing else. In the UK, registering a company online with Companies House costs £100, plus a £50 online confirmation statement each year.
  2. Put the title in the SPV’s name. The land register names the SPV as owner. Token holders own the company, so a token sale never touches the register, and only the SPV can sell the house.
  3. Get an independent valuation. Tokens times price should land near it. Price far above it and buyers overpay from day one. Keep it fresh, because a stale valuation is the number lenders and buyers lean on.
  4. Pick the legal route for the offer. In the US, tokens sold privately under Regulation D are restricted securities, and Rule 144 holds them for six months if the issuer files reports with the SEC, one year if it does not. In Dubai, the land department’s pilot sells through a licensed platform, with VARA, the virtual assets regulator, as a partner.
  5. Issue a token with transfer rules built in. It checks every buyer before it moves. More on standards below.
  6. Decide who holds the keys. The token contract has admin keys that can freeze a wallet or move tokens after a lost key or a court order. A regulated custodian or transfer agent should hold them, under written rules.
  7. Wire up the rent. A letting agent collects it off chain, costs come off the top, and the rest is paid per token to each holder’s wallet.
  8. Plan the exit. Holders need somewhere to sell, and buyers who pass the same checks. Without a venue and a lock-up schedule, “liquid” is a promise.

The rules live in the token. It checks them before every transfer and refuses if one fails.

Which token standard is best for real estate?

Use a permissioned security token, not a plain ERC-20. A plain token moves to any wallet, so the SPV loses track of who its shareholders are.

ERC-3643 is a final Ethereum standard for permissioned tokens. Before any transfer it checks the buyer against an identity registry, then runs compliance rules such as caps per country or per investor. It also supports frozen wallets, pausing, and recovery when an investor loses their keys. ERC-1400 solves the same problem, adding transfer checks that return reason codes and documents attached to the token, but it never became a final standard.

The check order, as ERC-3643 lays it out:

before transfer(from, to, amount):
  token paused? refuse
from or to wallet frozen? refuse
identityRegistry.isVerified(to) is false? refuse # buyer has no checked identity
compliance.canTransfer(from, to, amount)? refuse # country, holder caps, lock-ups
move the tokens, then tell compliance it happened

The identity check is the same idea as proving your age once and showing a signed yes afterwards, which I cover in prove you’re over 18 without showing your ID.

How do token holders get paid rent?

The tenant pays the letting agent in pounds, dollars or dirhams. The agent takes its fee, the SPV tops up its repairs reserve and pays insurance and accounts, and what is left is divided by the number of tokens. That figure per token goes to each wallet, usually in a stablecoin or straight to a bank account. If the payout runs on stablecoins, how a bank issues its own stablecoin covers the money side.

The rent feed is the weak point. The blockchain only knows what the agent reports. In the prototype, the rent feed is one of the four gates: switch it off and you see what fails without it.

Where is real estate tokenization actually live?

Dubai is the clearest government-run example. The Dubai Land Department launched its tokenization pilot on 19 March 2025 with VARA and the Dubai Future Foundation, the first registration body in the Middle East to tokenize title deeds. Its first licensed platform opened on 25 May 2025: from AED 2,000, ready properties only, UAE ID holders only, and dirhams only during the pilot.

In the UK, the Property (Digital Assets etc) Act 2025 received Royal Assent on 2 December 2025. It confirms that crypto-tokens can be property in law, which matters when a token holder goes bust or a court needs to trace a token.

What breaks?

These are the failures I built gates for, plus the ones every deal room should test:

What does it cost to tokenize a property?

The fixed government fees are small: £100 online to register the UK SPV and £50 a year for its confirmation statement, per Companies House. The real money goes on lawyers for the offering, the valuation, a transfer agent or custodian, a smart contract audit and the platform’s fees. I have not found published prices for those that I would trust, so get written quotes for each before you commit.

Questions people ask

Is tokenized real estate legal?

Yes, where it follows the securities and property laws that already apply. The SEC says a tokenized security is still a security, and Dubai runs a licensed pilot through its land department.

Do token holders own the house?

No. They own shares in the SPV, and the SPV owns the house. The land register names the SPV.

Can I tokenize my own house?

You can put it in a company and issue the shares as tokens. Selling those tokens to other people is a securities offering, so you need a lawyer and the right exemption or licence where your buyers live.

What does an RWA tokenization platform do?

An RWA (real world asset) tokenization platform sets up the SPV, checks investors’ identity, issues the token with its transfer rules, keeps the register in step with the company’s records, and pays out income. Ask who holds the admin keys before you sign.

Can I sell real estate tokens any time?

Only to buyers who pass the token’s checks, and only after any lock-up. US private placements fall under Rule 144’s six-month or one-year holding period.

Which blockchain is best for real estate tokens?

The one your investors, custodian and transfer agent already support. The token standard and its rules matter more than the chain.
